for the software "TIA Openness Manager"

Terms and Conditions
1. Scope of Application
These Terms and Conditions apply to all contracts, deliveries, and services between AnyAutomation ("Provider") and the respective customer ("Licensee"), including support, updates, license sales, and other services.
They apply exclusively to businesses (B2B).
2. Contract Conclusion
A contract is concluded by:
- Customer order and written confirmation by the provider, or
- Activation of a license by the customer.
The provider is not obligated to accept orders.
3. License Models
The provider sells exclusively usage rights, not ownership rights. Available license models:
- Single-user license (HW-ID bound)
- Multi-user or floating licenses (optional)
- Time-limited subscription licenses
- Enterprise licenses with extended usage rights
The exact scope is determined by the respective offer.
4. Prices & Payment Terms
- All prices are exclusive of VAT.
- Payment is due within 10 days of invoice date.
- No discounts, no deductions.
- In case of payment default, the provider may suspend the license.
5. Scope of Delivery
The scope of delivery consists exclusively of:
- The software in digital form
- A license key
- Optional updates during the license period
The provider owes no installation service, no integration into customer systems, and no customizations, unless contractually agreed.
6. Support
Unless contractually defined:
- Support is voluntary and without response time guarantee
- No entitlement to bug fixes
- No entitlement to feature updates
Enterprise customers can conclude a separate SLA.
7. Warranty
The software is delivered "as is".
The provider assumes no warranty for:
- Error-free operation
- Suitability for a specific purpose
- Compatibility with future TIA Portal versions
- Stability of access to external LLMs
No warranty claim exists.
8. Liability
The provider's liability is strictly limited.
The provider is liable up to the amount of the paid license price per damage event.
There is no liability for:
- Production downtime
- Data loss
- Engineering errors
- LLM-caused erroneous generations
- Lost profits
- Indirect damages
- Consequential damages
The EULA liability provisions apply additionally.
9. Data Protection
The customer is solely responsible for compliance with internal and legal data protection requirements. The provider assumes no responsibility for data that the customer transmits to an external LLM.

10. Termination & Suspension
The provider may suspend licenses if:
- Payments are outstanding
- Licenses are misused or manipulated
- Reverse engineering is suspected or detected
- Security mechanisms have been bypassed
11. Jurisdiction
Swiss law applies. Jurisdiction is the registered office of the provider company.
12. Severability Clause
Invalid provisions are replaced by economically equivalent ones.
